Standard Terms and Conditions
**1. Services**
1.1 IT Horizon (hereinafter referred to as "Service Provider") agrees to provide IT services to the client (hereinafter referred to as "Client") as outlined in the proposal or statement of work (SOW) sent to the client.
1.2 The Services will be provided in a professional and timely manner, adhering to industry standards and best practices.
**2. Payment**
2.1 Client agrees to pay Service Provider the agreed-upon fees as specified in the proposal or SOW.
2.2 Payment terms and schedules will be outlined in the proposal or SOW.
2.3 Late payments may be subject to interest charges.
**3. Term and Termination**
3.1 The term of this agreement will commence on the effective date and will continue until the completion of the services unless terminated earlier.
3.2 Either party may terminate this agreement with written notice if the other party breaches a material term and fails to cure such breach within a reasonable period.
**4. Confidentiality**
4.1 Both parties agree to keep confidential any proprietary information received during the course of the engagement.
4.2 This obligation of confidentiality extends beyond the termination of the agreement.
**5. Intellectual Property**
5.1 Service Provider retains ownership of any pre-existing intellectual property.
5.2 Any intellectual property created during the engagement will be owned by the party that created it unless otherwise agreed in writing.
**6. Liability**
6.1 Service Provider's liability for any damages arising out of the provision of services shall be limited to the fees paid by the Client.
6.2 Neither party shall be liable for any indirect, consequential, or incidental damages.
**7. Governing Law**
7.1 This agreement shall be governed by the laws of the State of Victoria, Australia.
**8. Miscellaneous**
8.1 Amendments to this agreement must be in writing and signed by both parties.
8.2 This agreement represents the entire understanding between the parties and supersedes all prior agreements.
